Terms of Service

These Terms of Service govern your access to and use of Prism, including the Prism web application, public website, mobile application, research library, publishing tools, community features, alerts, portfolio and watchlist workflows, AI-assisted research features, article audio features, newsletters, Model Context Protocol integrations, and API access.

By creating an account, accessing Prism, connecting an integration, subscribing to a paid plan, publishing content, or otherwise using the service, you agree to these Terms. If you use Prism on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, you may not use Prism.

Prism is a research and publishing workspace for investors and research-driven users. The service helps users create private research Projects, upload and organize sources, run AI-assisted research, draft and publish articles, manage communities, receive market and research alerts, track watchlists and portfolios, and connect external AI tools through scoped integrations.

Prism may include free, paid, beta, experimental, or preview features. Some features may be limited by plan, usage quota, geography, availability of third-party services, or product configuration.

Prism may change, suspend, or discontinue features from time to time. We may also update limits, pricing, eligibility, and technical requirements, subject to applicable law and any commitments made at the time of purchase.

You must provide accurate account information and keep your sign-in credentials, sessions, API keys and tokens, OAuth grants, mobile sessions, and MCP credentials secure. Prism uses third-party authentication services, including Clerk, to manage account identity and session workflows.

You are responsible for activity under your account, including activity by connected AI clients, MCP clients, mobile sessions, and anyone you authorize to use your credentials.

You may not share credentials in a way that bypasses plan limits, account controls, security controls, or access restrictions. If you believe your account or token has been compromised, contact Prism promptly and revoke any affected integrations where possible.

Prism may offer free and paid plans with different limits for features such as Project folders, file storage, published theses, email subscribers, MCP/API integrations, and other usage-based capabilities. Current plan features are shown in the product or on the pricing page.

Paid subscriptions are processed through Stripe or another billing provider. Billing providers may collect payment information, billing contact information, tax information, transaction metadata, and subscription status. Prism does not store full payment card numbers.

Unless otherwise stated at purchase, subscriptions renew automatically until canceled. You can manage billing in Prism or through the billing flow made available to you. Plan changes, cancellations, refunds, trials, taxes, failed payments, and renewal timing may be handled by Prism and its billing provider according to the checkout terms shown to you.

Usage quotas and plan limits may be enforced automatically. Downgrading, canceling, failed payment, or exceeding limits may reduce connection count, semantic indexing, accepted MCP calls, API access, publishing capacity, storage, or other plan-gated capabilities without deleting stored content. MCP writes remain subject to the scopes you authorize and to applicable storage, indexing, publishing, Project-access, confirmation, and safety limits.

You may upload, import, create, edit, store, publish, or submit content in Prism, including files, notes, website captures, RSS items, inbound emails, transcripts or transcript-like material, charts, tables, artifacts, drafts, article images, article text, community posts, comments, profile details, portfolio or watchlist data, prompts, chat messages, and source metadata.

You retain ownership of your content, subject to any rights held by third parties. You grant Prism a limited license to host, store, process, transmit, display, reproduce, index, summarize, transform, and otherwise use your content as needed to provide, secure, maintain, improve, and support the service.

When you publish content publicly, share an artifact, enable a public profile, send newsletters, post in a community, or otherwise make content available to others, you authorize Prism to display, distribute, cache, preview, render, email, and make that content available according to the feature settings you choose.

You are responsible for your content, including ensuring you have the rights necessary to upload, import, publish, cite, email, or share it. Prism does not guarantee that content generated, summarized, or assisted by AI is accurate, complete, original, lawful, or suitable for publication.

Prism includes publishing and community features that may make your content visible to other users or the public. Public profiles, publication pages, published posts, public article engagement, community posts, comments, votes, saves, media uploads, display names, avatars, and related metadata may be visible according to your settings and community permissions.

You are responsible for published articles, community posts, comments, attachments, images, disclosures, tickers, claims, source links, and newsletters you send or authorize. You must not use Prism to publish unlawful, infringing, deceptive, defamatory, harassing, abusive, spammy, manipulative, or privacy-invasive content.

If you use Prism newsletters, you are responsible for the content you send and for honoring applicable email, marketing, anti-spam, and disclosure obligations. Prism provides unsubscribe mechanisms for publication subscribers, and you must not interfere with them.

Community owners and moderators may have additional controls over community membership, visibility, posts, and moderation. Prism may remove or restrict content, accounts, communities, or subscriptions when needed to enforce these Terms, protect users, comply with law, or preserve service integrity.

Prism provides AI-assisted research, chat, drafting, source analysis, retrieval, summarization, artifact creation, article audio, and related workflows. These features may use third-party AI providers, model gateways, text-to-speech providers, embedding providers, search providers, or user-configured model-provider connections.

AI outputs can be incorrect, incomplete, outdated, biased, speculative, or unsuitable for your purpose. You must independently review, verify, and validate AI outputs before relying on them, publishing them, trading on them, or sharing them with others.

You are responsible for prompts, uploaded materials, selected sources, citations, generated drafts, generated artifacts, generated audio, and decisions you make using Prism. Prism may apply safety, quota, retrieval, access, and validation controls, but those controls do not replace your responsibility for review.

If you connect your own model-provider key, you are responsible for that provider relationship, API charges, model behavior, and compliance with that provider's terms. Authorized AI clients use separate Prism access controls and scopes.

Prism is a research, workflow, library, writing, publishing, alerting, and analysis tool. Prism does not provide investment advice, legal advice, tax advice, accounting advice, brokerage services, trading execution, fiduciary services, or personalized financial planning.

Information available through Prism may include market data, company information, news, filings, public sources, user-uploaded materials, AI-generated summaries, community discussion, or third-party content. This information may be incomplete, delayed, inaccurate, or not suitable for your circumstances.

You are solely responsible for investment decisions, trading decisions, portfolio decisions, published claims, disclosures, and professional judgments. You should consult qualified professionals before making decisions that require professional advice.

Prism may allow you to connect external tools and services, including MCP clients, OAuth clients, email ingestion, RSS feeds, website imports, AI providers, search providers, and mobile clients. Integrations may receive or transmit data according to the scopes, permissions, tokens, and settings you authorize.

MCP access is scoped, audited, and plan-gated. Some write tools may be disabled by default or require explicit write scopes. External AI clients and MCP clients may access available Project context, sources, drafts, artifacts, portfolio or watchlist data, or other information only according to the permissions granted and product configuration.

Project owners may invite other Prism accounts as Viewers or Editors and may separately grant those members' MCP clients no access, read access, or limited non-destructive write access. Owners are responsible for choosing collaborators and permissions appropriate for the content. Collaborators are responsible for activity performed through their accounts and MCP connections. Shared-agent writes may consume the Project owner's storage and indexing allowance, while MCP call usage remains associated with the collaborator's account.

Project sharing does not transfer ownership. Owners may revoke access or archive or delete a Project; collaborators may leave. Prism may enforce changes on new requests immediately and may reject queued work when authorization no longer exists.

If you connect Google Drive, you authorize Prism to access only files you select, create private server-side snapshots and extracted text, make those snapshots available to authorized Project collaborators, and periodically check selected files for changes. Google remains authoritative, Prism does not provide write-back editing, and opening an original file remains subject to Google's access controls.

Disconnecting or losing access to a connected Google account stops synchronization but may leave the last successful Prism snapshot in the Project until that source is removed. You are responsible for selecting files you are authorized to share with the Project and for understanding that a cached snapshot can remain readable by Project members independently of their access in Google.

You are responsible for reviewing integration permissions, securing tokens, revoking unused clients, and ensuring your use of external tools complies with those tools' terms. Prism is not responsible for third-party services, their availability, their handling of data, their outputs, or their changes.

You may not use Prism in a way that harms Prism, users, third parties, markets, or the integrity of the service.

Prism may investigate suspected abuse and may throttle, suspend, remove, or terminate access where appropriate.

• Do not violate laws, regulations, sanctions, intellectual property rights, privacy rights, publicity rights, or contractual obligations.
• Do not upload malware, attempt unauthorized access, probe security controls, scrape restricted areas, bypass rate limits, or interfere with the service.
• Do not use Prism to send spam, manipulate engagement, impersonate others, misrepresent affiliation, or distribute deceptive market claims.
• Do not use Prism to build or operate competing services through unauthorized copying, benchmarking, extraction, or reverse engineering.
• Do not use AI, MCP, publishing, community, or ingestion features to exfiltrate data you are not authorized to access.

Prism may display, retrieve, link to, summarize, cache, or help you analyze third-party content, including websites, RSS feeds, filings, financial data, news, search results, documents, videos, transcripts, user-submitted sources, and community materials.

Third-party content belongs to its respective owners and may be subject to third-party terms, licenses, restrictions, or availability limits. Prism does not guarantee that third-party content is accurate, current, available, complete, or authorized for every use.

You are responsible for complying with third-party terms when importing, storing, citing, publishing, or sharing third-party content.

Prism's handling of personal information is described in the Prism Privacy Policy. By using Prism, you acknowledge that Prism may collect, use, store, disclose, and otherwise process information as described in that policy.

Some features, including publishing, public profiles, community participation, newsletters, article engagement, mobile access, analytics, integrations, and MCP clients, may involve different visibility, retention, or sharing behavior. Review your settings and integration permissions carefully.

You may stop using Prism at any time. You may cancel paid subscriptions through the billing flow available in Prism, subject to the subscription terms shown to you.

Prism may suspend, restrict, or terminate access if you violate these Terms, create risk for Prism or others, fail to pay, exceed limits, misuse integrations, or if continued access would create legal, security, operational, or reputational risk.

After termination or cancellation, some content may remain available where required for legal, security, billing, audit, abuse-prevention, backup, or legitimate operational purposes, or where you published or shared content with others before termination.

Prism is provided on an as-is and as-available basis. To the maximum extent permitted by law, Prism disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted or error-free operation.

Prism does not warrant that AI outputs, market data, search results, filings, source extraction, embeddings, summaries, article audio, notifications, alerts, imports, exports, integrations, or published materials will be accurate, timely, secure, complete, or suitable for your needs.

You use Prism at your own risk and remain responsible for independent review, professional advice, backup of important materials, and compliance with applicable obligations.

To the maximum extent permitted by law, Prism will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages; lost data; lost goodwill; investment losses; trading losses; publication losses; business interruption; or third-party claims arising from or related to your use of Prism.

To the maximum extent permitted by law, Prism's total liability for claims arising from or related to the service or these Terms will not exceed the amounts you paid to Prism for the service in the three months before the event giving rise to the claim, or one hundred dollars if you used Prism for free.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

You will defend, indemnify, and hold Prism harmless from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your content, your published materials, your community activity, your integrations, your violation of these Terms, your violation of law, or your infringement or misuse of third-party rights.

Prism may update these Terms from time to time. When changes are material, Prism may provide notice through the service, by email, or by updating the effective date. Continued use of Prism after updated Terms take effect means you accept the updated Terms.

These Terms are written for a United States-oriented service structure without naming a specific state-law venue in this draft. Any final governing law, venue, arbitration, consumer-rights, or dispute-resolution language should be reviewed and completed by counsel before production reliance.
